Terms of Service

This Terms of Service document (the “*Terms*”) outlines the terms and conditions of use of the VPN services (the “*Services*” or “*Service*”) provided by Uplinks International Ltd. (“*Uplinks*”). These Terms also govern the use of and access to Uplinks’s content (the “*Content*”), which includes the Uplinks website (the “*Site*”), applications (the “*Apps*”), and any software provided by Uplinks (the “*Software*”).

By agreeing to these Terms, you are also agreeing to the [Privacy Policy](https://www.uplinks.net/terms) (“*Privacy Policy*”).

1. Acceptance

By accessing the Content or Services, you are agreeing on behalf of yourself or those you represent (“*you*”) to comply with and be legally bound by these Terms in their entirety. These Terms constitute a legally binding agreement (the “*Agreement*”) between you and Uplinks. If you do not agree with any part of the Terms, you may not use our Services.

By creating an account for using our Services, you represent that you are at least eighteen (18) years of age or that you are a valid legal entity, and that the registration information you have provided is accurate and complete.

2. Modification

Uplinks may update the Terms from time to time without notice. If you continue to use Uplinks’s Services, Content, Site, Apps, or Software after these changes take effect, then you agree to the revised Terms. The current version of the Terms is available on the Site. You understand and agree that it is your obligation to review these Terms from time to time in order to stay informed on current rules and obligations. Notification on any core changes to the Terms will be provided to subscribers through an email message or update to the Site. Your use of the Content or Services following the changes to these Terms constitutes your acceptance of the changed Terms.

3. Privacy Policy

Uplinks is committed to your privacy and does not collect or log browsing history, traffic destination, data content, or DNS queries from Subscribers connected to our VPN. During your registration, we may collect some sensitive personal information, such as your email address and payment information. We only collect information that are necessary for the proper delivery of the Site and Services.

For the sake of clarity and transparency, we have placed all information related to data collection in a separate document known as the Privacy Policy, which is available on the Site. Please review the Privacy Policy in its entirety to get a clear understanding of how we handle your sensitive data.

4. Subscriptions

Uplinks Services are available to you upon registration on the Site. By subscribing to the Services, you agree to become a subscriber (“*Subscriber*”) for the period you have elected. A full list of subscription plans and pricing is available on the Site. Uplinks reserves the right to amend subscription fees or institute new fees at any time upon reasonable advance notice posted on the Site or sent via email. Any changes to the pricing will not affect the Subscriber’s current subscription period and will become effective upon subscription renewal. Subscription purchases and refunds are handled via multiple third-party payment companies.

When supported by your payment method, plans renew automatically by default at the completion of the billing term. By default, the renewal term is for the same duration as the billing term for the original subscription. The subscription fee will be charged automatically to the payment method you last selected. If you would like to discontinue automatic renewal, you may sign in to the Site and turn off auto-renewal. By default, auto-renewal is turned on when you use a payment method that supports auto-renewal (such as a credit card or Paypal), and turned off when you use a payment method that does not support auto-renewal (such as Bitcoin).

Each paid subscription grants you one (1) license to use on five (5) different devices at any given time. If you want to use the Services on more than five devices at a time, then you can either (i) use Uplinks on your router, (ii) purchase additional subscription plans, or (iii) purchase additional licenses through the “volume licensing” option. For more information on “volume licensing” program, please contact Support.

5. Refund Policy

You may cancel your account with a full refund within 7 days of your initial purchase (“*Money Back Guarantee*”). Refunds beyond the 7-day purchase window will be considered, at the sole discretion of Uplinks, if a Subscriber can demonstrate that the Service was not available or usable during the subscription period and that reasonable attempts were made to contact Uplinks to resolve the issue. In this case, Uplinks may provide the Subscriber with a pro-rata refund of service fees paid during the period when the Service was not available or usable.

Refunds are generally processed within seven (7) days, and are made to the original form of payment used for purchase. All refunds are sent in USD and therefore the refund amount could differ from the amount originally paid in local currency or Bitcoin.

Any change to the original purchase, such as upgrading to an extended billing term or purchasing of additional licenses under the same account, shall constitute a waiver of the Money Back Guarantee option. To request a refund under the Money Back Guarantee, send an email with your request to the following email address: *support@uplinks.net*

Users whose subscriptions are billed as an in-app purchase through the Apple App Store (iTunes) do not have access to the Uplinks 30-day money-back guarantee. Instead, users can request refunds through the App Store, which are issued solely at the discretion of [Apple Support](https://support.apple.com/en-us/HT204084) .

6. Acceptable Use Policy

Uplinks Services may be accessed from all around the world, so it is your responsibility to assess whether using the Site, Apps, Software, or Services is in compliance with local laws and regulations. Whenever you use the Site, Apps, Software, or Services, you should comply with these Terms and applicable laws, regulations, and policies.

You understand that it is your responsibility to keep your Uplinks account information confidential. You are responsible for all activity under your account. If you ever discover or suspect that someone has accessed your account without your authorization, you are advised to inform us immediately so that we may revoke your account credentials and issue new ones.

Uplinks aims to provide the best service possible to all of our Subscribers. In that sense, we require that you do not misuse our Content or Services. A misuse refers to any use, access, or interference with the Content or Services contrary to the Terms or applicable laws and regulations.

In order to protect the Services from being misused or used to harm someone, Uplinks reserves the right to take appropriate measures when our Services are being used contrary to these Terms and applicable laws. You agree that Uplinks may terminate your account, without providing a refund for Services already paid, if you misuse the Service.

In using our Services, you agree not to:

* Send or transmit unsolicited advertisements or content (i.e., “spam”) over the Service.

* Send, post, or transmit over the Service any content which is illegal, hateful, threatening, insulting, or defamatory; infringes on intellectual property rights; invades privacy; or incites violence.

* Upload, download, post, reproduce, or distribute any content protected by copyright or any other proprietary right without first having obtained permission from the owner of the proprietary content.

* Upload, download, post, reproduce, or distribute any content that includes sexual or explicit depictions of minors.

* Engage in any conduct that restricts or inhibits any other Subscriber from using or enjoying the Service.

* Attempt to access, probe, or connect to computing devices without proper authorization (i.e., any form of “hacking”).

* Attempt to compile, utilize, or distribute a list of IP addresses operated by Uplinks in conjunction with the Service.

* Use the Service for anything other than lawful purposes.

7. License

Subject to your compliance with these Terms, Uplinks grants to you a non-exclusive and limited license to download and use the Software. Modifying, distributing to unauthorized parties, reverse engineering, or otherwise using the Software in any way not expressly authorized by Uplinks is strictly prohibited.

Usage of any material which is subject to Uplinks’s intellectual property rights is prohibited unless you have been provided with explicit written consent by Uplinks.

8. Language and Translation of Content

All of our Content was originally written in English. Any translation of our Content is done on a best-effort basis. We cannot guarantee the accuracy of translated Content. In the event of any discrepancy between the translated Content and the English Content, the English Content shall prevail.

9. Third-Party Websites

Uplinks may provide you with content belonging to Third Parties (“*Third Parties*”) or links leading to third-party websites. Uplinks is not responsible for the availability of the content provided by Third Parties as they are not under the control or supervision of Uplinks, and they may have different terms of use and policies. Your access through our Services to any website, service, or content provided by Third Parties does not indicate any relationship between Uplinks and such Third Parties.

10. Disclaimers

We will strive to prevent interruptions to the Site and Services. However, these are provided on an “as-is” and “as-available” basis, and we do not warrant, either expressly or by implication, the accuracy of any materials or information provided through the Site or Service, or their suitability for any particular purpose. We expressly disclaim all warranties of any kind, whether express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose, or non-infringement. We do not make any warranty that the Services will meet your requirements, or that it will be uninterrupted, timely, secure, or error-free, or that defects, if any, will be corrected. You acknowledge that you access the Site and Services at your sole risk and discretion.

VPN service coverage, speeds, server locations, and quality may vary. Uplinks will attempt to make the Service available at all times. However, the Service may be subject to unavailability for a variety of factors beyond our control, including but not limited to emergencies; third-party-service failures; or transmission, equipment, or network problems or limitations, interference, or signal strength; and may be interrupted, refused, limited, or curtailed. We are not responsible for data, messages, or pages lost, not delivered, delayed, or misdirected because of interruptions or performance issues with the Service, communications services, or networks. We may impose usage or Service limits, suspend Service, terminate VPN accounts, or block certain kinds of usage in our sole discretion to protect Subscribers or the Service. The accuracy and timeliness of data received is not guaranteed; delays or omissions may occur.

Uplinks reserves the right to investigate matters we consider to be violations of these Terms. We may, but are not obligated to, in our sole discretion and without notice, remove, block, filter, or restrict by any means any materials or information that we consider to be actual or potential violations of the restrictions set forth in these Terms, and any other activities that may subject Uplinks or our customers to liability. Uplinks disclaims any and all liability for any failure on our part to prevent such materials or information from being transmitted over the Service and/or into your computing device.

11. Limitations of Liability

Uplinks shall not be liable and shall not have responsibility of any kind to any Subscriber or other individual for any loss or damage that you incur in the event of:

1. any failure or interruption of the Site or Service;

2. any act or omission of any Third Party involved in making the Site or Service or the data contained therein available to you;

3. any other cause relating to your access or use, or inability to access or use, any portion of the Site or its Content;

4. your interactions on the Site or Service;

5. your failure to comply with this Agreement;

6. the cost of procurement of substitute goods or services; or

7. unauthorized access to or alteration of your transmissions or data, whether or not the circumstances giving rise to such cause may have been within the control of Uplinks or of any vendor providing software, services, or support for the Site or Service.

In no event will Uplinks, its partners, affiliates, subsidiaries, members, officers, or employees be liable for any direct, special, indirect, consequential, or incidental damages, or for any other loss or damages of any kind, even if they have been advised of the possibility thereof. The foregoing shall not apply to the extent prohibited by applicable law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Uplinks, its officers, directors, employees, members, partners, agents, and suppliers, and their respective affiliates, officers, directors, employees, members, shareholders, partners, and agents, from any and all claims and expenses, including attorneys’ fees, arising out of your use of the Content and Service, including but not limited to your violation of this Agreement. We may, at our sole discretion, assume the exclusive defense and control of any matter subject to indemnification by you. The assumption of such defense or control by us, however, shall not excuse any of your indemnity obligations.

13. Choice of Law

This Agreement shall be governed by and construed in accordance with the laws of the British Virgin Islands, excluding its rules governing conflicts of law.

14. Arbitration

All disputes arising out of or relating to this Agreement or the use of the Site or Services shall be finally settled under the Rules of Arbitration (“*Rules*”) of the International Centre for Dispute Resolution (ICDR) by one arbitrator (“*Arbitrator*”) appointed in accordance with said Rules. The arbitration shall be conducted in Road Town, Tortola, British Virgin Islands, unless all parties agree otherwise by a signed written agreement.

The Arbitrator must be qualified and have a background in the area of computer networks, including but not limited to the internet.

The Arbitrator shall have the authority to permit an expedited exchange of documents, but any discovery shall be limited to document requests and interrogatories. The Arbitrator shall have no power or authority to add to or detract from this Agreement, and the costs of the arbitration shall be borne equally, except as described below.

The arbitration shall be conducted on an expedited schedule. The arbitration must be concluded, and an award issued, no later than one hundred and twenty (120) days following the filing of the demand for arbitration, unless all parties to the arbitration proceeding agree in writing to an extension of time or continuance.

Subject to any applicable law to the contrary, you agree that any cause of action arising out of or related to the use of our Site or Services must be commenced within one (1) year after the cause of action accrues, or such action will be permanently barred.

In the event that Uplinks is the respondent in any such arbitration, damages awarded against Uplinks may not exceed the amount you have paid Uplinks for use of the Service.

The Arbitrator shall have the authority to grant any temporary, preliminary, or injunctive relief in a form substantially similar to that which would otherwise be granted by a court of law. The Arbitrator shall have no authority to award punitive damages. The resulting arbitration award may be enforced, or injunctive relief may be sought, in any court of competent jurisdiction in the British Virgin Islands. Reasonable costs (including all costs of arbitration) and attorney’s fees shall be awarded against the party that commenced the arbitration, in the event that party does not prevail in the arbitration.

The parties subject to this arbitration provision include Uplinks, its officers, directors, and employees, and any company or legal entity which is a parent, subsidiary, or sister company to Uplinks, or with which Uplinks has contracted to provide services to Subscribers through Uplinks.

15. Final Provisions

If any provision in this Agreement is held invalid or unenforceable, that provision shall be construed in a manner consistent with applicable law to reflect the original intent of the provision, and the remaining provisions of this Agreement shall remain in full force and effect. Any failure to exercise or enforce any right or the provision of this agreement shall not constitute a waiver of such right or provision.

Privacy Policy

We want you to understand what information we collect, what we don’t collect, and how we collect, use, and store information. *We do not collect logs of your activity, including no logging of browsing history, traffic destination, data content, or DNS queries. We also never store connection logs, meaning no logs of your IP address, your outgoing VPN IP address, connection timestamp, or session duration*.

Our guiding principle toward data collection is to collect only the minimal data required to operate a world-class VPN service at scale. We designed our systems to not have sensitive data about our customers; even when compelled, we cannot provide data that we do not possess.

This privacy policy will help you understand how Uplinks International Ltd. (“*Uplinks*,” “*we*,” “*our*,” or “*us*”) collects, uses, and stores information.

Uplinks collects four types of information:

(i) Information related to your account (“personal information”)

This information is collected for the purpose of administering your Uplinks subscription and includes your name, email address, and payment information, which you submit on our order page when you subscribe for the Services.

(ii) Aggregate Apps and VPN connection summary statistics

Uplinks collects minimal information about usage in order to maintain excellent customer support and quality of service. The section below specifies in detail what information we collect. These statistics never include anything about what the user did with the VPN: no data about the contents or destinations of VPN traffic, no DNS queries, and no IP addresses.

(iii) (User-controlled option): Anonymous app diagnostics, including crash reports

App diagnostic data, which include crash reports, usability diagnostics, and VPN connection diagnostics, are anonymized and cannot be tied back to individual Uplinks users. This feature is similar to a “send bug report” option. Users can specify in the settings menu of any Uplinks App whether to send these data to us.

(iv) Only for users who choose to use the MediaStreamer service: IP addresses authorized to use MediaStreamer

Separately from VPN services, we also provide our optional MediaStreamer service for devices such as Apple TV that do not support VPNs. Users who opt in to using MediaStreamer can choose to register specific IP addresses that should be authorized to use the service; these IP addresses are only used by Uplinks to provide the optional MediaStreamer service and not for any other purpose.

Personal Information

Uplinks collects personal information that you provide to us directly through the Site. We require that you provide personal information, such as an email address and payment information, in order to establish an Uplinks account, and so that we can email you, collect payments from you, and respond to support queries that you initiate. The specific information collected varies depending on the payment method you choose. To minimize the amount of personal information you submit to us, we recommend that you use Bitcoin payments when subscribing to our Service.

With some forms of payment, the Site may redirect you to the website of a third-party payment processor (namely PayPal, BitPay, or Paymentwall) to complete the transaction. To understand what personal information these processors collect and store, please refer to the respective processor’s terms and privacy policy.

Uplinks uses your email address for the following reasons:

* To send emails related to payment transactions.

* To provide links to our Site, including password reset emails.

* To send you updates and announcements.

* To communicate with you about your VPN services or respond to your communications.

* To send marketing information, such as Uplinks offers, surveys, invitations, and content about other matters in connection with Uplinks (“*Marketing emails*”). You may choose to not receive Marketing emails by following the opt-out procedure described in these emails.

Uplinks uses your personal information only for the purposes listed in this Privacy Policy, and *we do not sell your personal information to third parties*.

Aggregate Apps and VPN Connection Summary Statistics

We ensure that we never log browsing history, traffic destination, data content, IP addresses, or DNS queries. Therefore:

* We do not know which user ever accessed a particular website or service.

* We do not know which user was connected to the VPN at a specific time or which VPN server IP addresses they used.

* We do not know the set of original IP addresses of a user’s computer.

Should anyone try to compel Uplinks to release user information based on any of the above, *we cannot supply this information because the data don’t exist*.

In order to maintain excellent customer support and quality of service, Uplinks collects the following information related to your VPN usage:

Apps and Apps versions

We collect information related to which Apps and Apps version(s) you have activated. Knowing your current version of the Apps allows our Support Team to troubleshoot technical issues with you.

Successful connection

We collect information about whether you have successfully established a VPN connection on a particular day (but not a specific time of the day), to which VPN location (but not your assigned outgoing IP address), and from which country/ISP (but not your source IP address). This minimal information assists us in providing technical support, such as identifying connection problems, providing country-specific advice about how to best use our Service, and to enable Uplinks engineers to identify and fix network issues.

Aggregate sum of data transferred (in MB)

We collect information regarding the total sum of data transferred by a given user. Although we provide unlimited data transfer, if we notice that a single user pushes more traffic than thousands of others combined, thereby affecting the quality of service for other Uplinks users, we may contact that user for an explanation.

Summary

We collect minimal usage statistics to maintain our quality of service. We may know, for example, that our customer John had connected to our New York VPN location on Tuesday and had transferred an aggregate of 823 MB of data across a 24-hour period. John can’t be uniquely identified as responsible for any specific behavior because his usage pattern overlaps with thousands of other Uplinks customers who also connected to the same location on the same day.

We’ve engineered our systems to categorically eliminate storage of sensitive data. *We may know THAT a customer has used Uplinks, but we never know HOW they have utilized our Service*. We stand by our firm commitment to our customers’ privacy by not possessing any data related to a user’s online activities.

Anonymous App Diagnostics, including Crash Reports (can be turned off by the user)

With your permission, we collect anonymized app diagnostic data, which include crash reports, usability diagnostics, and VPN connection diagnostics. We use these data in our network operations tools to help optimize network speeds and to let us identify problems and areas for improvement related to specific apps, VPN servers, or ISPs. The information we receive is *fully anonymized and cannot be tied back to individual Uplinks users* (i.e., we do not store which user sent which data, and we do not store user IP addresses).

If you *opt in* to share this information with Uplinks, we will collect the following anonymized information:

* Diagnostic information about if and how a VPN connection attempt failed.

* Speed test data.

* App diagnostics, including crash reports and usability diagnostics, also without any personally identifiable information. These are handled in an anonymized form by these third parties, dependent on the platform you are using Uplinks on:

Upon activation of any Uplinks App, you will be asked if you would like to share these data. You can start or stop sharing these diagnostic data at any time in the App’s settings menu. On iOS, [Apple’s crash reporting can be turned off in iOS settings](https://support.apple.com/en-us/HT202100) .

MediaStreamer

MediaStreamer is our service for consoles like Apple TV and other devices that don’t support running a VPN. Because the service doesn’t run on an app and doesn’t have an option for username/password authorization, we rely on a system that authorizes specific IP addresses that you have chosen to register with us. You can register IP addresses by logging in to our website and using the “DNS Settings” page. Those IP addresses are then stored in our system in order to identify authorized devices for MediaStreamer, and are not used for any other purpose.

If you do not wish to use this service but have devices like an Apple TV that cannot run a VPN, we suggest using the Uplinks App for routers. Like all of our Apps and VPN Service, the App for routers does not require IP address registration. Please contact us, and we’ll guide you through the steps.

Jurisdiction and Applicable Law

Uplinks’s core mission is to keep your information private. In service of this mission, Uplinks’s headquarters and registered place of business is in the British Virgin Islands (BVI), which has stricter laws concerning information disclosure than most countries.

The BVI has no data retention laws, and any legal order requiring a BVI company to disclose customer records must come from the BVI Supreme Court. Under BVI law, information requests from foreign courts or law enforcement are subject to a “dual criminality” provision, meaning that the request is upheld by the BVI Supreme Court only if the same crime is punishable by at least a one-year prison sentence under BVI law, had it taken place in the BVI. Should we receive a valid legal order from the BVI Supreme Court, it is important to note that *Uplinks does not collect any IP addresses, browsing history, traffic data, or DNS queries that could be used to identify any specific user*.

Storing of Information Related to Email, Live Chat, and Feedback Forms

Uplinks keeps records of any correspondence, questions, complaints, or compliments you submit to us through our Site or Services, along with our response. Depending on how you contact Uplinks, we may collect your email address and any additional information you provide to us. Having full correspondence records enables our staff to provide the best possible customer support experience.

We use two different third-party platforms for support correspondence: Zendesk for emails and support tickets, and SnapEngage for live chat. When you correspond with us using these platforms, they will store your correspondence records—including your email address, as well as user and device attributes that help with troubleshooting, such as the country you are contacting us from and your device’s operating system. Both platforms utilize modern security practices and HTTPS encryption.

Security Measures to Protect Your Information

Uplinks uses best-in-class physical, procedural, and technical security with respect to our offices and information storage facilities so as to prevent any loss, misuse, unauthorized access, disclosure, or modification of information. Access to user information is restricted to staff who require such access to perform their job functions.

While we believe these systems are robust, it is important to understand that no data security measures in the world can offer 100% protection.

Servers are housed in data centers with strong security practices. None of these data centers require us to collect or store any traffic data or personal information related to your use of VPN Services. If any data center were to ask us to log such data, we would immediately cease operations with said data center and find alternative options.

Even if a government were to physically seize one of our VPN servers and manage to break its disk encryption, there would be no logs or information that would tie any individual user to a particular event, website, or behavior.

Cookies and Mobile Identifiers

What is a cookie?

A cookie is a small text file used to store information about your visit to the Site. Cookies let Uplinks optimize and improve the user experience of the Site by helping us deliver certain functionalities, such as website login and language settings. The cookies we use may vary over time as we continuously update and improve our Site.

Disabling cookies

You are free to change your cookie preferences at any time. You can do this in the settings panel for your browser. Depending on which browser and device you use, you may be able to control which cookies you allow, which cookies you want to block in the future, and delete cookies. For more information about these settings, please refer to the “help” section of your browser. Note that Uplinks’s Site may not work as intended if you choose to disable cookies.

Uplinks’s cookies

The cookies set by Uplinks enable us to set your language preference, attribute visitors to a marketing channel, and, once you log in, securely show you information that is specific to your account. The cookies contain a user identifier, but no directly personally identifying information such as your name or email address, and do not track any activity outside of Uplinks’s domains.

Third-party cookies

Uplinks uses third-party services such as Google Analytics and Adwords. Cookies from such services are used to collect data for statistical reports. For example, we may generate reports regarding the amount of time users spend on the Site and the number of users who visit a particular page.

Uplinks uses Google AdWords remarketing to show advertisements on third-party websites (including Google) to users who have visited our Site. We may show such users advertisements on a Google search results page, or on a site in the Google Display Network.

Third-party vendors, including Google, use cookies to serve ads based on someone’s past visits to the Site. Any data collected will be used in accordance with our Privacy Policy and Google’s privacy policy. Users may opt out of Google’s use of cookies by visiting the Google Advertising Opt-out Page.
